All details in this document are governed by Romanian law.

This document, entitled "Terms and Conditions", represents the legal agreement between you, as a Customer, User or Visitor, and www.nidussolaris.com, regulating the use of the Site, placing orders, accessing and using its functionalities. For proper use of the Site, we recommend that you carefully read these Terms and Conditions before interacting with the platform.

By accessing or visiting the Site, creating a user/customer account or placing an order, you fully and unconditionally accept these Terms and Conditions. Accepting them, in full and without equivocation, is a necessary condition for benefiting from the services available on the Site. If you do not agree, either partially or in full, with these Terms and Conditions, please do not use the Site. Users, Visitors and Customers are obliged to comply with the rules, rights, obligations and procedures provided in the valid version of the Terms and Conditions at the time of their interaction with the Site. www.nidussolaris.com is not obliged to individually inform users about the modifications made to these Terms and Conditions.

3. Definition of some terms

For the purposes of this document, the terms and expressions below are defined as follows:

Order – represents the intention of the Customer, expressed through the site, through which he expresses his desire and commitment to purchase at least one product from those sold by us;

Account – represents a unique interface of our site that is accessible only to customers who create an account. Creating an account involves personalizing a section of the site by entering your email address and password, a section that contains various information about the Client.

Contract – represents the distance contract concluded between us and you, our clients. This contract is concluded without the simultaneous physical presence of the Seller and the Buyer, contracts that are concluded by the acceptance, after careful reading, of this Document by the Buyer.

Buyer/Client – any natural person, with full legal capacity or any person/legal entity, who creates or not an Account on the Site and places an Order online.

Seller – represents the company Nidus Solaris S.R.L.

Document / Policy of Use / Terms and Conditions – this Policy regarding the terms and conditions of use of the Site, also referred to as the Terms and Conditions”, “T&C” or “Policy”, which will govern the contractual relationship between www.nidussolaris.com and Customers, Users and/or Visitors and which will be interpreted in accordance with Romanian law. Any non-compliance or invalidity of a part or clause of the Terms and Conditions with other applicable legal provisions has no effect on the validity and legality of the other provisions of the Policy.

Product – represents any good that is marketed on the website www.nidussolaris.com.

User – any person who has created an account on the website.

Visitor – any person who accesses the website.

The Site – represents our website www.nidussolaris.com as well as any section or subpage thereof.

Nidus Solaris S.R.L. or its partners and is protected by the Copyright Law, as well as by the legislation on intellectual and industrial property. The use of any elements on the website www.nidussolaris.com, or those listed above, without prior written consent, is prohibited and is punishable according to the laws in force.

It is not allowed to copy, distribute, publish, transfer to third parties, modify, alter, use, display, include any content in any context other than the original intended on the website, without the written consent of the Seller.

Information about the Products available on the Site (static/dynamic images, multimedia presentations, etc.) is provided for informational purposes only and does not constitute a contractual obligation on the part of the Seller.

5. User registration

The www.nidussolaris.com site can be accessed free of charge, and browsing its pages does not require user registration (creation of a user account on the Site).

However, in order to benefit from certain services offered, such as purchasing products, subscribing to the www.nidussolaris.com newsletter or checking the status of orders, it is necessary to create a user account and provide real, correct, updated and complete information about yourself. When placing an order, please carefully check whether what you are ordering is what you want. We do not assume responsibility for data provided incorrectly (example: wrong product code provided or incorrect billing and delivery data provided, etc.).

7. Price

The prices present in the store are expressed in Euros and include VAT (21%). For orders from Romania, the prices also include the green stamp tax, in accordance with legal provisions. The user may request information about them according to OUG 5/2015 regarding waste electrical and electronic equipment.

The purchase price presented on the invoice will be the same as that presented on the site at the time of purchase, a price to which delivery costs are added.

In the event of a refund, the Seller is only responsible for the amount received, which corresponds to the price displayed on the site and accepted in the order.

If prices or other details regarding products have been incorrectly entered on the site, we reserve the right to cancel the delivery of those products.

Derisory Price - Nidus Solaris S.R.L. makes every effort to provide accurate information about the price and characteristics of the products. It is possible that some prices are erroneous. In the event of registering an order with a derisory price, Nidus Solaris S.R.L. has the right to cancel the Buyer's order, in accordance with the provisions of art. 1665 paragraph 2 of the Civil Code. A derisory price shall be understood as a price well below the real value of the product or the purchase price, in which case the Seller will communicate the real price to the Customer and if the Customer does not agree with the real price, it will cancel the sale without the Customer being able to request any compensation. The Parties hereby confirm that they have taken note of and accept the Terms and Conditions relating to the derisory price.

8. Payment methods

Payment for the products can be made by:a) bank transfer/payment order to the account: RO37BTRLRONCRT0CV4502601, Banca Transilvania Cluj Napoca. Any additional commission charged by the bank is the responsibility of the buyer. b) by cash on delivery of the product (only for orders in Romania)c) by bank card when placing the order online, card payments are processed through NETOPIA Payments.

9. Payment by card

To offer you the option of online payment, we use the NETOPIA PAYMENTS payment processing platform.

When you opt for online payment, you will be redirected to the NETOPIA PAYMENTS platform, where you will be asked for certain personal data depending on the payment method chosen - for example, card data (card number, cardholder's name & surname, expiration date and security code on the back of the card). This data is used strictly for processing the payment through the NETOPIA PAYMENTS platform and is not communicated to us.

In certain situations, we may transmit a series of information regarding the transaction directly to the NETOPIA PAYMENTS platform, namely: transaction value, phone number and e-mail address (if these have been filled in the customer account).

In order to ensure the tracking of transactions and the settlement of payments, NETOPIA PAYMENTS provides us with reports on the payments we collect. These reports may include personal data of payers (name, surname, e-mail, telephone number, billing address). NETOPIA PAYMENTS transmits this data to us as part of the payment processing services.

In the event of problems related strictly to the processing of your payment, you will be able to be contacted directly by NETOPIA PAYMENTS representatives to resolve them.

10. Delivery information

The delivery cost (Euro price including VAT) varies depending on the weight of the package, as follows:

Romania starts from 6 EUR
Other EU country starts from 20 EUR

The order processing time by www.nidussolaris.com is between 1 and 10 business days from the date of receipt of the order by www.nidussolaris.com. This interval may vary due to reasons beyond our control. All products available on www.nidussolaris.com are imported by Nidus Solaris S.R.L.

The delivery fee varies depending on the type of product and will be clearly displayed upon completion of the order.

Any delays that may occur in the delivery process are strictly the responsibility of the shipping companies, and the seller does not assume any delays caused by the courier company.

If you wish to specify details related to delivery, such as delivery time, exact address or landmarks, please fill in the comments field before completing the order. On the day of shipment, you will be notified by email. Products are delivered within the limit of available stock. If one or more ordered products are not in stock, you will be informed accordingly. In certain cases, you may opt to replace the ordered product with a similar one, with your agreement.

Responsibility for any damage to the products, parcel or package during transport lies with the courier company or carrier, according to the legislation in force. The products will be replaced by our company if the courier's fault is proven, and we are notified within 24 hours of receiving the package.

In the event of unforeseen situations (such as traffic jams, adverse weather conditions or the inability of public transport to travel), we reserve the right to postpone the delivery of the order.

There are also exceptional cases in which orders cannot be completed for reasons beyond our control, such as fires, explosions, floods, epidemics, strikes, government actions, armed conflicts, acts of terrorism, protests, riots, civil unrest or other force majeure events, in accordance with Romanian law. These situations exempt us from liability for delays or even cancellation of delivery.

The delivery time may be delayed in the case of public holidays.

11. Return Policy

12. Warranty

The warranty is granted in accordance with the legal provisions of Romania.

The seller is liable to the buyer for any non-conformity that exists at the time of delivery of the goods and that is found within two years from that date.

In the event of defects occurring during the warranty period, the product will be repaired or replaced by the seller. The repair or replacement period is no more than 15 calendar days from the moment the seller was informed by the consumer about the non-conformity, as provided for in O.G. 21/1992 and OUG 140/2021.

Please send the product by courier with delivery confirmation, to the address mentioned on the invoice.

The warranty is only valid if the product is used according to the instructions provided and in a proper manner. During the warranty period, www.nidussolaris.com covers all expenses for the repair or replacement of the defective product, including its remedy or replacement with a similar product or one of equal value, if the defect is caused by manufacturing defects or defective materials.

To benefit from the warranty, the defective product must be accompanied by the original proof of purchase (invoice, receipt or tax receipt), a detailed description of the problem complained about, as well as all accessories included in the package. The warranty period is extended by the time between the date of registration of the complaint and the date of troubleshooting the product.

The warranty is not granted in the following situations:

The product is damaged due to improper use, abuse or inadequate maintenance.

The product is used for purposes other than those for which it was designed.

The beneficiary, following failure to comply with the instructions for use and application of the products, causes them damage that may cause them to be unusable under the specified conditions.

Interventions were carried out on the product by unauthorised persons.

The product has damage caused by external factors (weather, fire, earthquakes, accidental electrical surges).

The product was damaged as a result of a blow.

The warranty offered expires.

13. Disputes

By using, viewing or purchasing products from this site, the user acknowledges that the laws of Romania govern the above Terms and Conditions and any dispute of any kind that may arise between the user and S.C. Nidus Solaris S.R.L. In the event of any conflicts between S.C. Nidus Solaris.S.R.L. and its customers, an attempt will first be made to resolve them amicably within a minimum of 30 working days.

If an agreement cannot be reached within the previously specified period, disputes between the Parties will be subject to resolution by the competent courts in accordance with the legislation in force.

14. Miscellaneous

If any of the above clauses is found null or invalid, regardless of the cause, this will not affect the validity of the other clauses. Once the order is placed, the customer accepts the Terms and Conditions of Use without objection, their value being the same as a validly concluded contract.

By agreeing to these Terms and Conditions, the customer fully assumes the rights and obligations arising from the purchase from the virtual store www.nidussolaris.com

If an agreement cannot be reached within the previously specified period, disputes between the Parties will be subject to resolution by the competent courts according to the legislation in force in Romania.
